Zenspo LLC: Terms of Service

• "Zenspo" refers to Zenspo LLC, a Florida limited liability company.
• "Sponsor" refers to any individual or business entity that posts a job, project, or opportunity on the platform.
• "Pro" refers to any professional, freelancer, or individual using the platform to showcase their portfolio, view opportunities, or post in the community feed.
• "Platform Fee" refers to the fee Zenspo retains from each completed transaction between a Sponsor and a Pro for the use of the marketplace and payment infrastructure.

Zenspo is a neutral venue only.

• No Employment Relationship: Zenspo is not an employer, headhunter, or staffing agency. No partnership or joint venture is created between Zenspo and any user.
• Marketplace Model: Zenspo provides the platform for discovery and payment. We do not supervise, direct, or control the work performed. Any contract for services is strictly between the Sponsor and the Pro.
• Beta Phase: Zenspo is currently in a Beta launch phase. Features and terms are subject to change as we improve the platform for our community.

• Platform Fees: Zenspo charges a fee for every successfully funded project.
• For transactions $50.00 and above, Zenspo retains a 10% platform fee.
• For transactions under $50.00, Zenspo retains a flat fee of $5.00.
• Automatic Deduction: These fees are automatically deducted at the time of payment processing. By initiating a transaction, you agree to this fee structure.
• Payment via Stripe: Payments are processed through Stripe. By using Zenspo, you agree to comply with Stripe’s Services Agreement.
• Refund Policy & Case-by-Case Review: All platform fees are generally non-refundable. However, Zenspo LLC reserves the right, in its sole and absolute discretion, to review refund or cancellation requests on a case-by-case basis. Approved refunds are a one-time courtesy and do not waive our general no-refund policy.
• No Guarantees: Zenspo does not guarantee that a Sponsor will find a suitable Pro or that a Pro will secure work. Fees are for platform usage and connection services.

• User Responsibility: You are solely responsible for any text, photos, or videos you post to the Zenspo Community Feed. You represent that you own the rights to all content you share.
• License to Zenspo: You grant Zenspo LLC a non-exclusive, royalty-free, perpetual license to display, distribute, and promote your posts on the platform to help grow the community.
• Moderation: Zenspo reserves the right (but not the obligation) to monitor, edit, or remove any content at our sole discretion that we deem offensive, illegal, or in violation of community standards.

Users may not:

• Post fraudulent, illegal, or discriminatory content or jobs.
• Circumvention: Attempt to bypass the platform by arranging off-platform payments for connections made on Zenspo to avoid platform fees.
• Use the platform to scrape data or harass other users.
• Misrepresent their identity, skills, or affiliation with a company.

To the maximum extent permitted by Florida law:

• Direct Damages Only: Zenspo LLC shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, data, or property damage) arising from the use of the platform or the conduct of any Pro or Sponsor.
• Liability Cap: In no event shall Zenspo’s total liability exceed the total platform fees paid by the user to Zenspo in the six (6) months preceding the claim.

These Terms are governed by the laws of the State of Florida. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Alachua County, Florida.

Your use of Zenspo is also governed by our Privacy Policy. We collect necessary data to facilitate connections and share transaction data with Stripe to process payments. We do not sell your personal data to third parties.
